Section 1 — Acceptance of Terms

1.1 By accessing, browsing, registering for, or otherwise using PEA360, the User agrees to be bound by these Terms and Policies, which constitute a legally binding agreement between the User and PEA360 Inc. If the User does not agree to these Terms in their entirety, the User must immediately cease all access to and use of the Platform.

1.2 PEA360 Inc. reserves the right to modify these Terms at any time. Notice of material changes will be provided through a Platform notification upon next login, an email to the registered address, or a published notice at pea360.ai.

1.3 Continued use of the Platform following notice of modifications constitutes acceptance. The User's sole remedy upon disagreement is to discontinue use and close their Account. The Effective Date at the top of this document indicates the date the current version became operative.

Section 2 — Definitions

• Platform / PEA360: The digital environment, web and mobile applications, APIs, AI systems, and all associated services accessible through pea360.ai.
• PEA360 Inc. / Company: The corporate entity organized under Ontario law that owns, operates, and administers the Platform.
• User: Any individual or entity that registers for, accesses, or uses the Platform or its Services.
• Account: A registered user profile providing access to the Services in accordance with the applicable Subscription Plan.
• Tina: The Platform's AI-powered virtual assistant providing conversational, analytical, and automation capabilities.
• Content: All data, text, images, documents, files, financial records, and other materials submitted by or generated for Users through the Platform.
• Services: All features, tools, functionalities, and offerings available through the Platform.
• AI Output: Any content, recommendation, analysis, prediction, or response generated by Tina or any other AI system within the Platform.
• Subscription Plan: Any paid access tier offered by the Platform, as described in the Platform's current service schedule.

Section 3 — Platform Access and Registration

3.1 Eligibility. Access is restricted to individuals who are at least 16 years of age or the age of majority in their jurisdiction (whichever is greater), possess legal capacity to enter into a binding agreement, have not been previously suspended or banned, and provide accurate registration information.

3.2 Registration Obligations. Users agree to provide truthful information, maintain only one Account per natural person, maintain confidentiality of login credentials, accept responsibility for all Account activities, and notify the Company immediately of any unauthorized Account access.

3.3 Account Suspension and Termination. PEA360 Inc. may suspend or terminate any Account without prior notice for breach of these Terms, fraudulent conduct, prolonged inactivity, harmful conduct toward other Users, or any other circumstance the Administrator reasonably determines poses a risk to the Platform.

3.4 Account Deletion. Users may request Account deletion through Platform mechanisms or by contacting support@pea360.ai. Personal data will be processed in accordance with Section 8.

Section 4 — Services and Subscription Framework

The Platform provides AI-assisted life-management services including conversational assistance through Tina, life-event tracking, document management, shopping and price comparison tools, grocery and gas price intelligence, budgeting tools, family coordination features, reminders and task management, and predictive analytics.

4.3 Billing and Payment. All billing is handled through authorized third-party payment processors. Subscriptions renew automatically unless cancelled before the renewal date. No refunds are issued for partial billing periods or unused subscription terms unless required by applicable law. PEA360 Inc. reserves the right to adjust pricing with reasonable advance notice; continued use constitutes acceptance of revised pricing.

4.4 Modification of Services. PEA360 Inc. may modify, suspend, or discontinue any aspect of the Services at any time. The Company will use commercially reasonable efforts to provide advance notice of material changes.

Section 5 — AI Use and Limitations

5.1 Nature of Tina. Tina is an AI-powered virtual assistant and not a human agent, professional advisor, or fiduciary. All AI Output is provided for general informational purposes only and does not constitute professional advice, including medical, legal, financial, tax, or psychological advice.

5.2 Multilingual Capabilities. Tina supports multilingual interaction including automatic language detection. Accuracy of multilingual responses may vary and the Company does not guarantee completeness or precision of translations.

5.4 No Guarantee of Accuracy. The Company makes no warranty regarding the accuracy, completeness, or reliability of any AI Output. AI Output may contain errors, inaccuracies, or outdated information. The User assumes all risk associated with reliance on AI Output.

5.6 AI Improvement. PEA360 may use AI systems and data analytics to improve service quality, personalize experiences, analyze usage patterns, and develop new features, subject to the privacy protections in Section 8.

Section 6 — User Content and Data

6.1 Ownership. The User retains all right, title, and interest in Content submitted to the Platform. Nothing in these Terms transfers ownership of User Content to the Company.

6.2 License Grant. By submitting Content, the User grants PEA360 Inc. a non-exclusive, worldwide, royalty-free license to use, process, store, reproduce, display, transmit, and analyze such Content solely for: (a) providing the Services; (b) improving the Platform and AI models; (c) generating AI Output and analytics; and (d) complying with legal obligations.

6.3 User Responsibility. The User represents that all submitted Content is accurate, lawful, non-infringing, and that the User has all necessary rights to submit it and grant the license described above.

Section 7 — Intellectual Property

All intellectual property rights in and to the Platform — including software, algorithms, AI models, databases, designs, user interfaces, documentation, logos, trademarks, and all other proprietary materials — are and shall remain the exclusive property of PEA360 Inc. or its licensors. Users may not copy, reverse engineer, modify, distribute, sublicense, or remove any proprietary notices from the Platform. "PEA360," "Tina," the PEA360 logo, and related marks are trademarks of PEA360 Inc.

Section 8 — Privacy and Data Protection

8.1 Data Collection. The Company collects: Account Information (name, email, profile preferences); Usage Data (interaction patterns, analytics); Uploaded Content; Financial Data; Device and Technical Data (IP address, device type, OS, browser, geolocation); and Cookies and Analytics data.

8.3 No Sale of Personal Data. PEA360 Inc. does not sell, rent, or trade User personal data to third parties for monetary or other consideration.

8.4 Data Security. The Company employs TLS 1.2+ for data in transit and AES-256 encryption for data at rest, alongside role-based access controls, multi-factor authentication, and comprehensive audit logging.

8.5 Data Retention. Personal data is retained for the duration of the active Account and deleted or de-identified within 30–90 days following Account closure, except where retention is required by applicable law.

8.6 User Rights. Users may exercise rights of Access, Correction, Deletion, Withdrawal of Consent, and Data Portability by contacting support@pea360.ai. The Company will respond within the timeframe required by applicable data protection law.

8.9 Children's Privacy. The Platform is not intended for individuals under 16. The Company does not knowingly collect personal data from children under 16 and will delete any such data upon discovery.

Section 9 — Data Handling and Security

The Company maintains a data classification framework (Public, Internal, Confidential, Highly Confidential) with AES-256 encryption and TLS 1.2+ required for Confidential and Highly Confidential data. Role-based access controls and multi-factor authentication govern all internal administrative access. Regular encrypted backups, disaster recovery procedures, 24/7 infrastructure monitoring, and a documented incident response plan are maintained. In the event of a confirmed data breach, affected Users and applicable regulatory authorities will be notified within the timeframes required by PIPEDA, GDPR, and other applicable legislation.

Section 10 — Monetization Framework

The Platform offers tiered access to Services through free and paid Subscription Plans. Specific features, limits, storage allocations, AI usage parameters, and pricing are published in the Platform's separately maintained service schedule, incorporated herein by reference. All subscription billing is handled through authorized third-party payment processors. Subscription Plans renew automatically unless cancelled before renewal. PEA360 Inc. may modify pricing with reasonable advance notice; continued use constitutes acceptance. No refunds are issued for unused subscription terms except as required by applicable consumer protection law. PEA360 Inc. may offer promotional programs, founding member programs, or other special access arrangements at its sole discretion.

Section 11 — Community Conduct

All Users shall conduct themselves with respect, integrity, and civility. Prohibited behaviors include: harassment, threats, or stalking; hate speech or discrimination based on any protected characteristic; impersonation or identity misrepresentation; posting harmful, illegal, defamatory, obscene, or pornographic content; abuse of other Users or Platform systems; and unsolicited commercial solicitation or spam. Violations may be reported to support@pea360.ai and may result in warnings, temporary suspension, permanent termination, or referral to law enforcement.

Section 12 — Prohibited Conduct

Users shall not: misrepresent their identity; gain unauthorized access to Platform systems; reverse engineer any Platform component; interfere with Platform operations through attacks or malicious activity; upload malicious code; circumvent security measures or usage restrictions; create multiple free Accounts to bypass limits; scrape or harvest Platform data; infringe the intellectual property or privacy rights of any third party; resell or commercially exploit Platform access without written consent; or engage in any activity that undermines the integrity, security, or reputation of the Platform. Violations may result in immediate Account termination and legal action.

Section 13 — Disclaimers

THE PLATFORM, SERVICES, AND ALL AI OUTPUT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. PEA360 INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. AI OUTPUT DOES NOT ESTABLISH ANY PROFESSIONAL DUTY OF CARE OR ADVISORY OBLIGATION AND IS NOT A SUBSTITUTE FOR QUALIFIED PROFESSIONAL ADVICE. THE PLATFORM MAY INTEGRATE WITH THIRD-PARTY SERVICES FOR WHICH PEA360 INC. BEARS NO RESPONSIBILITY.

Section 14 — Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PEA360 PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. THE AGGREGATE LIABILITY OF THE PEA360 PARTIES FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY THE USER IN THE PRECEDING 12 MONTHS; OR (B) CAD $100.00. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LAWFULLY EXCLUDED, INCLUDING LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY GROSS NEGLIGENCE OR WILLFUL MISCONDUCT. Force majeure events beyond the Company's reasonable control shall not give rise to liability.

Section 15 — Indemnification

The User agrees to indemnify and hold harmless PEA360 Inc. and its affiliates, officers, directors, employees, and agents from and against all claims, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) breach of these Terms; (b) misuse of the Platform or AI Output; (c) violation of applicable law; (d) User Content that infringes third-party rights; and (e) any dispute between the User and any third party. PEA360 Inc. reserves the right to assume exclusive defense of any indemnified matter at the User's expense.

Section 16 — Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada. Disputes shall be resolved through: (1) good-faith negotiation for 30 days; (2) non-binding mediation in Ottawa, Ontario; and (3) binding arbitration in Ottawa, Ontario, if mediation fails. The User waives any right to participate in class action, class-wide arbitration, or any representative proceeding against PEA360 Inc. Mandatory consumer protection and data privacy rights afforded by the User's jurisdiction of residence are not affected.

Section 17 — Compliance

PEA360 Inc. is committed to compliance with applicable Canadian federal and provincial legislation including PIPEDA, Quebec's Law 25, and CASL. The Company uses commercially reasonable efforts to comply with international regulations including the GDPR (for EEA, UK, and Swiss users) and the CCPA/CPRA (for California residents). In the event of conflict between any provision of these Terms and applicable mandatory legislation, the applicable legislation shall prevail.

Section 18 — General Provisions

• Severability: If any provision is held invalid, it shall be modified to the minimum extent necessary or severed, without affecting the remaining provisions.
• Entire Agreement: These Terms, together with all supplementary policies referenced herein, constitute the entire agreement between the User and PEA360 Inc. regarding the Platform.
• Waiver: No failure to exercise any right under these Terms constitutes a waiver. Waivers must be in writing and signed by an authorized Company representative.
• Assignment: The User may not assign rights or obligations under these Terms without prior written consent. PEA360 Inc. may freely assign in connection with any merger, acquisition, or sale of assets.
• Notices: Notices to the Company shall be sent to support@pea360.ai. Notices to the User shall be sent to the email address associated with their Account.
• Survival: Sections 2, 6, 7, 8, 13, 14, 15, 16, and 18 survive termination of these Terms.
